OF HOW WE GOT HERE. AUGUST OF THIS YEAR WE RELEASED A REQUEST FOR PROPOSAL. WE RECEIVED A TOTAL OF SIX PROPOSALS. AN EVALUATION COMMITTEE WAS ASSEMBLED WHICH INCLUDED SIX MEMBERS. THREE MEMBERS FROM THE CITY OF PARKLAND , ONE FROM THE CITY OF CORAL SPRINGS, ONE FROM THE CITY OF COCONUT CREEK, AND ONE RESIDENT FROM THE RANCHES NEIGHBORHOOD. THE COMMITTEE RECOMMENDED BERGERON LAND DEVELOPMENT, INC. AS THE HIGHLY QUALIFIED PROPOSAL. ON OCTOBER 28, THE CITY COMMISSION APPROVED NEGOTIATIONS WITH BERGERON. THERE WERE THREE NEGOTIATION MEETINGS CONDUCTED BY THE NEGOTIATIONS TEAM. THE NEGOTIATING STUDENTS TEAM REVIEWED THE BERGERON PROPOSAL AS WELL AS THE PROPOSED SCHEDULE. ONE CRITICAL COMPONENT OF THE SCHEDULE WAS TO ARPA DEADLINES , ONE OF WHICH WAS THE END OF 2024 TOO THAT DEADLINE WAS FOR THE FUNDS TO BE ENCUMBERED. THE OTHER DEADLINE WAS THE END OF 2026 , WHICH IS THE DEADLINE FOR THE FUNDS TO BE SPENT. THE PROPOSED CONTRACT DOES MEET BOTH OF THESE DEADLINES. NOW THE ITEM OF THE CONTRACT WAS ITEM NUMBER 42. THIS WAS A LUMP-SUM ITEM FOR THE PUMP STATION INSTALLATION. THE CITY DETERMINED THAT THERE WAS POTENTIAL SAVINGS THAT COULD BE OBTAINED THROUGH ADDITIONAL MARKET RESEARCH AND POSSIBLY PERFORMING THIS ITEM OUTSIDE OF THE CONTRACT. AS A RESULT THE CITY NEGOTIATED TO MAKE THIS AN OPTIONAL ITEM THAT COULD BE INCLUDED OR EXCLUDED WITH THE CONTRACT AS DEEMED NECESSARY .THE CITY WOULD LIKE TO CONDUCT FURTHER MARKET RESEARCH AND DETERMINE IF A MORE COST-EFFECTIVE SOLUTION IS AVAILABLE . THE FIRST ONE IS THE REASON WE ARE HERE TONIGHT IS TO ADOPT THE NOTICE OF THE RESOLUTION OF NOTICE OF INTENT TO ASSESS RIGHT NOW WE ARE CURRENTLY WORKING WITH A LEGAL TEAM OF NEIGHBORS . AN ORDINANCE OF THE CITY COMMISSION OF THE CITY OF PARKLAND, FLORIDA APPROVING A PURCHASE AND SALE AGREEMENT WITH LTF REAL ESTATE COMPANY FOR THE CITY'S SALE OF APPROXIMATELY 9.3 ACRES OF LAND LOCATED AT 118 FOR THE CITY'S SALE OF APPROXIMATELY 9.3 ACRES OF LAND LOCATED AT 11801 HERON BAY BOULEVARD, CORAL SPRINGS, FLORIDA AS FURTHER DESCRIBED IN EXHIBIT ONE, AUTHORIZING THE EXECUTION OF THE PURCHASE AND SALE AGREEMENT WITH LTF REAL ESTATE COMPANY FOR THE SALE AND THE AMOUNT OF $6 MILLION FOR THE DEVELOPMENT OF THE LIFESTYLE AND FITNESS FACILITY WITH ASSOCIATED AMENITIES, CONTINGENT UPON THE DEVELOPMENT REVIEW PROCESS, PROVIDING FOR IMPLEMENTATION, CONFLICTS, SEVERABILITY, AND AN EFFECTIVE DATE. THE CITY MANAGER AND I HAVE BEEN NEGOTIATING FAIRLY DILIGENTLY AND EFFECTIVELY WITH LIFETIMES TEAM. WE DO HAVE A CONTRACT FOR YOU TONIGHT FOR CONSIDERATION. I'M JUST GOING TO GO OVER THE KEY BUSINESS

TERMS I KNOW THAT WE HAVE A LIFETIME AT LEAST ONE LIFETIME REPRESENTATIVE HERE IN THE AUDIENCE AS WELL. THE KEY BUSINESS TERMS OF THE SALE AGREEMENT INCLUDE THE FOLLOWING. THE SALE PRICES FOR $6 MILLION. THE CLOSING IS CONTINGENT UPON LIFETIME RECEIVING THEIR FINAL DEVELOPMENT APPROVALS , CONSISTING OF FINAL NONAPPEALABLE LAND-USE IF REQUIRED, REZONING PLAT AND SITE PLAN APPROVALS EITHER FROM THE CITY OF CORAL SPRINGS ARE FROM THE COUNTY IS APPROPRIATE, AND THE COUNTY GENERALLY APPROVES THE PLAT AND LAND-USE AMENDMENT IF IT IS NECESSARY.THE INITIAL DEPOSIT IS $200,000 DUE WITHIN THREE BUSINESS DAYS OF EXECUTION OF THE SALE AGREEMENT BY THE PARTIES . THIS ORDINANCE AND AGREEMENT ARE APPROVED BY THIS COMMISSION ON SECOND READING, AND THE NEXT MEETING , AND THE, THEY WOULD MAKE THE DEPOSIT , AND THE DUE DILIGENCE PERIOD WOULD START.
WE DO HAVE A SEVEN MONTH DUE DILIGENCE PERIOD WHICH IS APPROXIMATELY 210 DAYS. ONE OF THE REASONS WERE LITTLE LONGER DUE DILIGENCE ON THE SITE IS THAT THE DEVELOPMENT PROPOSAL INCLUDES GETTING AN ACRE FROM THE WESTSIDE, WHICH THEY ARE NEGOTIATING AT THIS TIME. IT ALSO INCLUDES GETTING A MODIFICATION OF AN ACCESS EASEMENT, YOU ALL KNOW ABOUT THAT LONG DRIVEWAY THAT LEADS UP TO THE CLUBHOUSE, GETTING A MODIFICATION OF THAT ACCESS EASEMENT FROM CORAL SPRINGS AND MARRIOTT. DURING THAT SEVEN MONTHS THEY ARE SUPPOSED TO DILIGENTLY PURSUE GETTING THOSE TWO THINGS DONE AS WELL AS DOING THE TRADITIONAL DUE DILIGENCE, ENVIRONMENTAL, ET CETERA IF THEY EXIT DUE DILIGENCE, THERE IS AN ADDITIONAL $200,000 DUE WITHIN THREE BUSINESS DAYS OF THE END OF THAT DUE DILIGENCE PERIOD, PROVIDED THAT THEY DO NOT TERMINATE. ESSENTIALLY THE INITIAL DEPOSIT , BOTH DEPOSITS ARE NONREFUNDABLE AFTER THE DUE DILIGENCE PERIOD, EXCEPT IF THEY TERMINATE THE AGREEMENT BASED ON A DENIAL OF ANY OF THE FINAL DEVELOPMENT APPROVALS, THEY HAVE ALSO REQUESTED IF CORAL SPRINGS OR COUNTY STAFF GIVE A WRITTEN RECOMMENDATION OF DENIAL, THAT THEY ARE NOT NECESSARILY FORCED TO SPEND THREE MORE MONTHS AND GO GET THE FORMER DENIALS. THAT IS UP FOR YOUR CONSIDERATION AS WELL. THEY WOULD HAVE TERMINATION RIGHT THERE. PRESUMING WE PROCEED THROUGH DUE DILIGENCE AND CONTINUE ON, THEN THERE IS A 12 MONTH WHAT IS CALLED ENTITLEMENT PERIOD. THAT WOULD BE THE ENTITLEMENT PERIOD OF THE TIMEFRAME IN WHICH LEIFSON WOULD HAVE TO SEEK THE DEVELOPMENT APPROVALS FROM CORAL SPRINGS IN THE COUNTY.
THEY HAVE TO DILIGENTLY PURSUE THOSE DURING THAT PERIOD OF TIME. IF THEY ARE DILIGENTLY PURSUING AND PROVIDE DOCUMENTATION TO THE CITY MANAGER , THERE IS AN ABILITY FOR UP TO AN ADDITIONAL SIX MONTH EXTENSION. LET'S SAY THEY HAVE GOTTEN A COUPLE OF THE APPROVALS AND THEY ARE WAITING FOR THE COUNTY TO PUT THE PLAT ON THE AGENDA, ET CETERA, THAT EXTENSION PROVISION IS THERE. THERE'S ALSO COOPERATION PROVISION. THE CITY OWNS THE PROPERTY AND THEY WILL BE CEMENTING FILAMENT APPLICATIONS TO CORAL SPRINGS IN THE COUNTY, SO THERE, THERE IS, WE, WE WOULD HAVE TO SIGN THOSE DEVELOPING APPLICATIONS AS OWNER, AND ADDITIONALLY THE CITY AT NO COST TO THE CITY WOULD COOPERATE WITH LIFETIME TO ASSIST IN OBTAINING THE MODIFICATION ACIDIFICATION AT THE MARRIOTT EASEMENT TO FACILITATE THEIR DEVELOPMENT.
THEY DO HAVE THE RIGHT TO TERMINATE IF THEIR DEVELOPMENT APPROVALS ARE DENIED . ONE THING THAT THEY HAVE REQUESTED THAT WE ARE STILL WORKING ON, FRANKLY , IS DEALING WITH IF, THEY ARE PROOF LET'S SAY IN CORAL SPRINGS, BUT CORAL SPRINGS FROZEN, LIKE, A VERY EXPENSIVE CONDITION, LIKE YOU HAVE TO BUY A FIRE TRUCK OR SOMETHING FOR THAT EXTENT, THEY ASK FOR SOME FLEXIBILITY THERE , SO WE ARE STILL WORKING THROUGH, LIKE, WE PROPOSE A DOLLAR THRESHOLD SO WE ARE WORKING THROUGH WITH THAT DOLLAR THRESHOLD WOULD BE IN TERMS OF A MATERIAL CONDITION THAT WOULD CAUSE THAT. AND THEY HAD ALWAYS TARGETED THE FRENCH SECTION ON HILL TO HAVE SOME SORT OF RETAIL CAPACITY, SO DATED OUT AND DID AN RFP ON THEIR OWN , AND THE RESIDENCE OF HERON BAY OBVIOUSLY WERE NOT HAPPY WITH WHAT THEY WERE SEEING WITH NSID. SO WITH THAT, THE CITY OF PARKLAND STEPPED IN SO THAT WE COULD THEN TRY TO CONTROL WHAT IS GOING ON IN THAT PARTICULAR LAND. SO , WE PAID $25 MILLION ROUGHLY FOR ALL OF THE LAND WHICH INCLUDED THE 21 ACRES THAT WE HAVE SOLD TO TOLL BROTHERS FOR $19.5 MILLION. THE MIDDLE SECTION, WHICH IS 25 ACRES, THEN THERE IS AN EIGHT ACRE SECTION IN THE FRONT THAT IS IN CORAL SPRINGS, SO IT IS NOT IN PARKLAND, AND THEN THERE WAS THE 9.3 SECTION IN THE BACK . THE 9.3 SECTION I THINK BECAUSE OF THE USE, WHERE IT IS LOCATED, THAT WAS SOMETHING NSID SAID LOOK , WE WANT YOU, THIS IS PART OF THE DEAL. IT WASN'T REALLY SOMETHING WE WERE INTERESTED IN, BECAUSE WE JUST WANTED THE FRONT SECTION IN, YOU KNOW, ON NOB HILL . WE GOT THE 9.3 SECTION PICK IT WAS ALWAYS OUR INTENTION TO SELL THIS SO WE COULD RECOUP OUR COST. WE'VE ALREADY RECEIVED , WELL WE HAVEN'T RECEIVED THE MONEY, BUT WE ARE COMING TO TERMS WITH 19.5 FOR TOLL BROTHERS, 6 MILLION FOR THE SALE OF THIS LAND GETS US ALMOST WHOLE. IN FACT IT GETS US EXACTLY WHOLE, BECAUSE I THINK WE PAID $25.5 MILLION.19.5 +6 IS 25.5. WE STILL HAVE OUR 25 ACRES . CORAL SPRINGS, WE HAD A JOINT WORKSHOP WITH CORAL SPRINGS, THAT BOTH COMMISSIONS HAD AGREED THAT LIFETIME WAS THE BEST FIT FOR THAT, AND IN TURN CORAL SPRINGS IS GOING TO ANNEX THE EIGHT ACRES IN CORAL SPRINGS INTO THE CITY OF PARKLAND . OBVIOUSLY THERE WILL BE IF HE THAT WE HAVE TO PAY FOR THAT, BUT NOW WE DON'T HAVE TO HAVE ANY INTERLOCAL AGREEMENTS, WE DON'T HAVE TO WORK WITH ANY OF THEIR CITIES WHEN WE DO, WHEN WE GO TO BUILD THIS VILLAGE. ALL OF THE LAND IN THE VILLAGE WILL BE OWNED AND OPERATED AND IN THE CITY LIMITS OF THE CITY OF PARKLAND . SO, NOT ONLY DO WE HAVE AN OPPORTUNITY IN SELLING THIS LAND TO MAKE OURSELVES WHOLE , AND, YOU KNOW, NOW WE WILL BE CLOSE TO BEING IN THE BLACK, BUT WE ALSO GET THAT EIGHT ACRES IN CORAL SPRINGS INTO THE CITY OF PARK AND SO THEN WE HAVE, WE DON'T HAVE TO WORK WITH ANYBODY ELSE TO TRY TO GET DONE WHAT WE WANT TO GET DONE IN THE VILLAGE. ONE OF THE GOOD THINGS FOR US AS WE OWN THE LAND, WE WERE ABLE TO GO OUT AND FIND AN AMENITY THAT WORKS FOR US. WE WENT OUT TO RFP WITH COLLIERS. THEY CAME BACK WITH I THINK THREE OR FOUR BIDS FOR THIS PARTICULAR LAND. AGAIN, BOTH PARKLAND AND CORAL SPRINGS COMMISSIONS AGREED LIFETIME WAS THE BEST FIT . IT IS A HIGH-END BRAND. I THINK IT WILL BRING A LOT OF VALUE TO OUR COMMUNITY. IS GOING TO BRING, IT'S GOING TO BRING SOME HELP TO THE VILLAGE. LOOK, IF WE COULD KEEP EVERYTHING GREEN FOREVER , THAT IS OBVIOUSLY ALWAYS IDEAL, BUT THAT IS NOT REALISTIC IN THIS TIME, BECAUSE KEEPING THINGS GREEN IS, IS COSTLY. THERE'S MAINTENANCE COST AND DIFFERENT THINGS THAT YOU HAVE TO DO WITH THAT , AND WE ARE BRINGING A BRAND THAT I THINK OUR RESIDENTS WILL ENJOY AND THEY WILL USE. LIFETIME HAS, YOU KNOW, HUNDREDS OF LOCATIONS THROUGHOUT THE COUNTRY. I THINK ANYBODY WHO KNOWS, WHO HAS EVER SEEN A LIFETIME , THEY ARE ALL VERY SIMILAR. WE KNOW WHAT TYPE OF FACILITY IT IS. IT IS A HIGHER END FACILITY WHICH I THINK OUR RESIDENTS WILL ENJOY. THIS MOVE HERE, NOT ONLY DOES IT ALLOW US TO RECOUP THE REST OF OUR FUNDS, BUT IT ALLOWS US TO CONTROL THE ENTIRETY OF THE VILLAGE. WE DON'T HAVE TO WORK WITH CORAL SPRINGS OR ANY OTHER ENTITY TO DO WHAT WE WANT TO DO IN THE VILLAGE. SO WITH THAT, IF ANYBODY HAS ANY OTHER

THIS IS A VERY LARGE PARCEL THAT HAD A BUILDING ON IT RUN INTO THE GROUND OVER THE YEARS AND HAS BEEN A BIT OF AN EYESORE, AND NOW THERE ARE SOME SUSTAINABILITY CONCERNS WITH A LARGE RATHER HIGH-END JIM COMING IN AND ALL OF THE ACCOUTREMENTS. THE OTHER ISSUE THAT I HAVE IS THIS, AND I VOICED THIS AS WELL. WHEN WE ACQUIRED THE PROPERTY FROM NSID, AND PART AT THE BEHEST OF THE RESIDENTS OF PARK AND AND ESPECIALLY THE RESIDENCE OF HERON BAY. IT WAS UNDER THE PREMISE THAT THAT WAS A RISK THAT WE WERE TAKING TO GARNER CONTROL AND TO MAINTAIN CONTROL OVER WHAT GOES THERE AS OPPOSED TO HAVING SOME DEVELOPER PURCHASED THE PROPERTY FROM A THIRD PARTY AND , AND NO OFFENSE TO ANY DEVELOPERS, BUT FORCED DOWN OUR THROATS WHAT THEY WANTED TO PUT THEIR RATHER THAN WHAT WE WANTED TO CURATE .IT GAVE US AN OPPORTUNITY, A RATHER UNIQUE OPPORTUNITY, TO DETERMINE THE FUTURE OF ALL OF THESE PARCELS INCLUDING THIS 9.3 ACRES, AND SO WE CAN CONTROL WHAT GOES THERE, CONTROL THE PROCESS, CURATE AND FINE-TUNE WHAT WE SAW AS A COMMUNITY NEED , RECOGNIZING THE IMPLICATIONS THAT WERE GOING TO COME FROM THE RESIDENCE WHETHER THAT WAS TRAFFIC OR NOISE OR ANYTHING. I AGREED WITH THE MAYOR FROM THE OUTSET. I TOLD RESIDENCE THIS IS NOT GOING TO BE GREEN SPACE.
WE HAVE THE BENEFIT OF THE PROPERTY THAT NSID HAS BOUGHT AND MAINTAINED TO TURN THAT INTO A PRESERVE , AND THAT WILL CONTINUE TO BE BEAUTIFIED AND ONE DAY SOON IT WILL BE OPENED AND ACCESSIBLE TO THE RESIDENCE AND EVERYTHING ELSE, BUT WE RECOGNIZE THAT THE REMAINING LAND, THE ECONOMICS OF IT WAS THAT EVENTUALLY IT WOULD NEED TO BE SOMETHING THERE, AND PROBABLY SOMETHING THAT WOULD DERIVE SOME TAX REVENUE. THERE ARE VERY FEW RESTRICTIONS IN THE CONTRACT AS IT SETS TODAY WITH REGARDS TO WHAT THE LOOK AND FEEL OF THE PROPERTY, OF THE LIFETIME FACILITY WOULD BE. I DON'T THINK IT ADEQUATELY INDICATES THE CONCERNS THAT I'VE RAISED, THAT RESIDENTS HAVE RAISED REGARDING THE NOISE ISSUES , THE EXTERIOR COMPONENTS. THEY ARE PUTTING ASIDE WHETHER IT SHOULD BE A GYM OR NOT. A, A FITNESS FACILITY. I DIDN'T MEAN THAT IN A PEJORATIVE TERM. BUT BY PUTTING ASIDE WHETHER IT SHOULD BE A LIFETIME FITNESS OR NOT, I DON'T THINK THAT THE SITE PLAN PROPOSED ADEQUATELY ADDRESSES ALL OF THE CONCERNS AND IS REFINED IN A MANNER WHICH WOULD BE THE BEST POSSIBLE PROJECT. NOW, IT MAY GET THERE. IT MAY GET THERE THROUGH THE CITY OF CORAL SPRINGS IF THIS PASSES TONIGHT AND AFTER SECOND READING, BECAUSE CORAL SPRINGS LEFT TO DO THEIR PROCESS THROUGH THEIR PLANNING AND ZONING, BUT WE LOSE THAT CONTROL, AND THAT WAS THE INTENTION THAT I HAD IN VOTING TO ACQUIRE THIS PROPERTY IS FOR US TO MAINTAIN AS MUCH OF THAT CONTROL AS POSSIBLE. WE HAD NUMEROUS DISCUSSIONS ABOUT THAT. I'M ALSO CONCERNED ABOUT THE CONTINGENCIES THAT LIFETIME HAS REQUESTED IN THE CONTRACT.

ANTHONY, YOUR NOTION OF THE DOCUMENTED COST BEING UP TO $1.5 MILLION THAT THEY COULD RECOVER FROM THE CITY OF PARKLAND WORRIES ME. SO, WITH THAT, THOSE ARE MY FEELINGS. CAN WE GET EIGHT ADDITIONAL ACRES INTO THE CITY OF PARKLAND THAT WILL BE TAX GENERATING LAND. AND NOW OUR VILLAGE IS SOMETHING THAT WE CAN MANIPULATE HOWEVER WE WANT. WE DON'T HAVE TO GO BACK TO CORAL SPRINGS AND SAY WELL , IN THAT EIGHT ACRES WE WOULD LIKE TO PUT A LAKE OR A PARK OR WHATEVER WE WANT TO PUT THERE.WE DON'T HAVE TO HAVE THOSE CONVERSATIONS NOW.
